PPF Telecom Group is committed to high standards of corporate governance

PPF Telecom Group has a two-tier management structure consisting of its management board (the Management Board). The Management Board represents PPF Telecom Group in all matters and is charged with its day-to-day business management. PPF Telecom Group has no administrative, management or supervisory body other than the Management Board despite being established as two-tier under Dutch law as all members of the Management Board are executive.

The Management Board is the statutory body of PPF Telecom Group, which directs its operations and acts on its behalf. The general meeting of PPF Telecom Group (the General Meeting) elects the members of the Management Board for a term of office determined by the General Meeting in its sole discretion.

Re-election of the members of the Management Board is permitted. Pursuant to the Articles of Association (statuten) (the Articles of Association) of PPF Telecom Group, the Management Board has at least one member.

All three members of the Management Board are executive. All members of the Management Board are obliged to perform their tasks and duties further to the office in the best corporate interest of PPF Telecom Group and the undertaking attached to it, as required under Dutch law.

Pursuant to the Articles of Association, the members of the Management Board are authorised to solely and independently represent PPF Telecom Group.

Jan Cornelis Jansen

Managing Director

Jan Cornelis Jansen has been a member of the Management Board since October 2013. He joined the PPF Group in 2007 and since then he has held the position of legal counsel and company secretary of PPF Group N.V. In 2012, he became vice-chairman of the board of directors of Home Credit B.V. and from July 2015 he has been a member of PPF Group N.V.’s board of directors. Prior to this, he held legal positions within various companies.

Mr Jansen holds an LL.M in Dutch Law, specialising in economic, public and business law, from the Universiteit Utrecht. He also has two post-graduate qualifications in company & corporate law, and employment law from the Grotius Academie (Nijmegen) and Vrije Universiteit Law Academy (Amsterdam) respectively.

Lubomír Král

Managing Director

Mr. Král has been a member of the Management Board since October 2013. Mr. Král has also held the position of general counsel of the PPF Group and, since March 2007, he has also been a member of the board of directors of PPF a.s. Prior to that, from 1997 to 1999, Mr. Král worked in the legal department of the settlement centre of the Prague Stock Exchange.

Mr. Král has a degree in Czech law from the Faculty of Law of Charles University in Prague and also attended the University of Economics, Prague.

Marcel Marinus van Santen

Managing Director

Mr. van Santen has been a member of the Management Board since June 2015. Before joining the Group in 2007, Mr. van Santen served as a financial executive in leading international IT companies, such as Cisco.

Senior management of PPF Telecom Group (the Senior Management) consists of PPF Telecom Group’s chief executive officer, chief technology officer, chief commercial officer and the chief executive officers of the main operating subsidiaries.

Members of the Senior Management are employees or management members of the respective PPF Group affiliates, including the PPF Telecom Group’s operating subsidiaries.

Balesh Sharma

Chief Executive Officer

Mr. Sharma has been the Group’s chief executive officer since July 2022. He joined PPF Group after many years in senior positions at multinational telecommunications corporations and technology start-ups. He has delivered excellent results at many of Vodafone’s subsidiaries and partner companies in Malta, Czechia, India, and South Africa.

Marek Sláčík

Executive Director CEE Chief Commercial Officer

Mr. Sláčík has been the Group's executive director for companies in Hungary, Bulgaria, and Serbia since April 2021. He has also served as the Group’s chief commercial officer since July 2018. He joined the PPF Group in 2018. Prior to joining the PPF Group, Mr. Sláčík held the position of chief commercial officer at Beeline Russia, part of VEON, one of the largest integrated telecommunication operators in the world, and worked for seven years in various executive management roles such as chief executive officer of Telenor Denmark, chief marketing officer of Telenor Sweden and Telenor Serbia at the Telenor Group. Before that, he held marketing and management positions at various telecommunication operators including O2 Czech Republic or Vodafone Czech Republic. Mr. Sláčík holds a master's degree in business administration and marketing from the University of Economics in Prague and completed the Stanford Executive Programme at the Graduate School of Business, Stanford University.

CTIO

Branimir Marić

Chief Technology and Information Officer

Mr. Marić has been the Group’s Chief Technology and Information Officer since June 2024.

He joined the PPF Group in 2023 as Chief Technology and IT Officer (CTIO) at CME group. Prior to joining PPF Group, he was CTIO at A1 Hrvatska in Zagreb, Croatia, and previously held CTIO positions at T-Mobile Czech Republic and Slovak Telekom. During his career, he has worked in various network and IT engineering and operations technology positions at Deutsche Telekom and in several other European countries. He has extensive experience in IT, TV distribution and digital infrastructure technologies.

Mr. Marić holds a degree in Radiocommunications and professional electronics, from Faculty of Electrical Engineering and Computing in University of Zagreb.

Yettel management

Igor Přerovský

Chief Executive Officer of Yettel Hungary

Mr. Přerovský has been the chief executive officer of Yettel Hungary since September 2023. Prior to his appointment, he served as Austria CEO at Creative Dock Group, being also Chief Fintech Ventures, with a focus on finance and telco projects in digital venture building and development across Europe and the Middle East. Between 2006 and 2019 he worked for Home Credit, PPF Group's global consumer finance franchise, running Home Credit's operations in the USA, Vietnam, and China. Mr. Přerovský has an extensive experience in the telco business, working between 2000 and 2006 as Vice-President of Brand Strategy and Communications at Oskar Mobile, now Vodafone Czech Republic. Mr. Přerovský studied economics at Mendel University in Brno as well as MBA at the University of New York in Prague.

Mike Michel

Chief Executive Officer of Yettel Serbia

Mr. Michel has been the chief executive officer of Yettel Serbia since October 2018. Prior to joining Yettel Serbia, Mr. Michel was the chief marketing officer of mobile operator Banglalink, Bangladesh. In his previous roles, he also served as chief marketing officer in Yettel Hungary, chief marketing officer in Yettel Montenegro and vice president for brand in the Yettel Group in Norway. Before that, he spent eight years in various managerial positions at Yettel Serbia and Vodafone Czech Republic (Oskar Mobil). Mr. Michel holds a bachelor's degree in economics from Simon Fraser University, Burnaby, Canada.

Jason King

Chief Executive Officer of Yettel Bulgaria

Mr. King has been the chief executive officer of Yettel Bulgaria since September 2018. Prior to joining Yettel Bulgaria, Mr. King spent 20 years in various senior management roles at major technology, media and telecommunications companies, including  commercial director at VEON, chief marketing officer at UPC Czech Republic, formerly part of UPC Liberty Global, and chief marketing officer at Deutsche Telekom. Mr. King holds a master's degree in international marketing from University of Strathclyde and completed a private equity programme at the Said Business School, University of Oxford, and an executive leadership programme at IMD Business School.

O2 management

Jindřich Fremuth

Chief Executive Officer of O2 Czech Republic

Mr. Fremuth has been the CEO and the Chairman of the Board of Directors of O2 Czech Republic since January 2018.

He joined O2 Czech Republic a.s. in 2009 as Director for Online Channels; in 2011 he took over responsibility for the strategy of consumer distribution channels. From 2013, he held the position of Director, Consumer Division, and in 2017 he was appointed Director, Commercial Division.
Prior to joining O2, Mr. Fremuth worked in marketing and sales. He served as CEO of Euro RSCG 4D (Havas Group) in digital marketing, direct marketing and sales promotion. As a consultant at McKinsey & Company, he focused on telecom and technology projects for major companies in Europe and the Middle East.

He graduated from the University of Economics in Prague.

Igor Tóth

Chief Executive Officer of O2 Slovakia

Mr. Tóth has been the chief executive officer of O2 Slovakia since January 2021. 
He joined O2 in 2008 as market research specialist and served in various roles in marketing, brand communication and customer value management. In 2011 he was part of customer experience team for Telefonica Europe in London. In 2017 he received the Marketer of the Year award. He later served as Director of marketing.

CETIN Group management

Jan Kadaník

Chairman of the Board of CETIN Group

Mr. Kadaník has been the Chairman of CETIN Group since July 2020.
He has broad international experience with finance, M&A and strategy. He spent the last 12 years in Basel, Switzerland, working for the Agri conglomerate Ameropa initially as chief finance officer and subsequently as chief executive officer for the last five years. Prior to that, Mr. Kadaník held a strategy and finance role at Agrofert, a major Czech industrial conglomerate, for seven years. 
Mr. Kadaník holds a master’s degree in international trade and international finance from the Prague School of Economics and has completed various professional courses during his career, most recently a senior executive programme at IMD Lausanne.

Tomáš Kouřil

Chief Executive Officer of CETIN Czechia

Mr. Kouřil has been the chief executive officer of CETIN Czechia since March 2024. His career in the telecommunications industry spans more than twenty years.

Since 2003, he has held various managerial positions in O2 Czech Republic, particularly in corporate and commercial finance, most recently serving as the Chief Financial Officer and Vice Chairman of the Board of Directors of the company. He played the key role in the pioneering project that separated the company’s infrastructure department into CETIN a.s. in 2015. He was also responsible for securing the mobile license in 2006 and subsequently launching O2’s operations in Slovakia.  Prior to joining O2, he worked at the consulting firm Deloitte.

Petar Mudrinić

Chief Executive Officer of CETIN Bulgaria

Mr. Mudrinić has joined CETIN Bulgaria as chief executive officer  in January 2021. Before joining the organisation, he served as Fixed Services Development Director at Yettel Bulgaria. Mr. Mudrinić has more than 20 years of experience in the telecommunications sector.

Juraj Šedivý

Chief Executive Officer of CETIN Group

Mr. Šedivý has been the chief executive officer and Board Member of CETIN Group since July 2020. He has also served as Chairman of the Board of CETIN Czechia since January 2019.
Juraj Šedivý has extensive international experience in the field of telecommunications, IT, and finance management. He joined Globtel, France Telecom Group’s mobile entrant in Slovakia, as the CFO in 1996. Between 1997 and 2009, he was a member of the top management team at Český Telecom, including as a Vice President for finance and shared services. He held the position of Vice-chairman of the Board of Directors of Telefónica O2 Czech Republic since 2003 and CEO of Telefónica O2 Slovakia from 2005. 
Juraj Šedivý obtained an engineering degree at the University in Nitra as well as taking a post-graduate course at the Comenius University in Bratislava and MBA programme at the Rochester Institute of Technology in New York.

Judit Kübler-Andrási

Chief Executive Officer of CETIN Hungary

Ms. Kübler-Andrási has been the chief executive officer of CETIN Hungary since 2022. She has more than 20 years of international experience in various leadership roles in telecommunications and management consulting. She worked at Magyar Telekom, Arthur D. Little and in the last 12 years held senior leadership positions in strategy, international wholesale and technology innovation at Deutsche Telekom.

Vladimir Radojičić

Chief Executive Officer of CETIN Serbia

Mr. Radojičić joined CETIN in Serbia as Chief Executive Officer in October 2024.
He had previously held several leadership positions, including Senior Vice President Technology Strategy and Partnership Ecosystem at Telenor Group, CEO of CETIN Bulgaria, and CTO of Telenor Bulgaria. Mr. Radojičić has more than 25 years of experience in the telecommunications sector.
